License agreement

The end user licence agreement for SchemaSync Professional — what you may do with the software, and what you may not.

1. Definitions

Software
SchemaSync Professional, including its installer, documentation and any updates provided to you.
Named user
The one individual to whom a licence is assigned. A licence is not assigned to a machine, a role or a team.
Perpetual licence
A right to use the versions of the Software made available to you during your update period, for as long as you wish, subject to this agreement.
Licensed computers
Under an Individual / Freelancer licence, one computer. Under a Professional or Enterprise licence, every computer the named user personally works from. In no case may one licence be used by two people, or run on more machines than the licence permits at the same time.

2. Grant of licence

On payment we grant you a non-exclusive, non-transferable, perpetual licence to install and use the Software as a named user, for commercial or personal purposes. How many computers that covers depends on the licence you bought: an Individual / Freelancer licence permits installation on one computer, and a Professional licence permits installation on every computer that the named user personally works from, including a work machine and a personal one. In both cases the licence covers one person.

Trial use is licensed on the same terms for the trial period, except that it is for evaluation rather than production use, and ends when the trial ends.

3. What you may not do

  • Share one licence between two or more people, or use it concurrently as more than one person.
  • Sell, rent, lease, sublicense or redistribute the Software, or provide it as a hosted service to third parties.
  • Reverse engineer, decompile or disassemble the Software, except to the extent that law expressly permits despite this restriction.
  • Remove or alter any copyright, trademark or licensing notice.
  • Circumvent licence enforcement, or use a key you did not lawfully obtain.

Reassigning a licence to a different person when someone joins or leaves your organisation is permitted and expected — contact support and the previous activation will be released.

4. Your data and your output

You retain all rights in your databases, schemas, snapshots, backups and any SQL the Software generates for you. We claim no licence over any of it, and the Software transmits none of it to us. Generated migration scripts are yours to use, modify, commit and distribute without restriction or attribution.

5. Updates and support

A licence includes twelve months of updates and email support from the date of purchase. After that the Software continues to work and you keep every version released during the period. Renewal is optional.

7. Warranty

We warrant that the Software will perform substantially as its documentation describes. If it does not, tell us and we will correct the defect or, if we cannot do so within a reasonable time, refund what you paid. That is your exclusive remedy for a defect.

Beyond that warranty, and to the extent the law allows, the Software is provided as it is, without implied warranties of merchantability or fitness for a particular purpose.

8. Limitation of liability

To the extent the law allows, our total liability under this agreement is limited to the licence fee you paid in the twelve months before the claim. We are not liable for indirect or consequential loss, including lost profits, lost or corrupted data, or business interruption. Nothing here excludes liability that cannot lawfully be excluded.

9. Term and termination

This licence continues until terminated. It terminates automatically if you materially breach it and do not correct the breach within 30 days of us telling you about it. On termination you must stop using the Software and remove it from your machines. Sections 4, 7, 8 and 10 survive.

10. Governing law

This agreement is governed by the laws of India, with exclusive jurisdiction in the courts of Bengaluru, Karnataka, India.

11. Third-party components

The Software includes open-source components used under their own licences. A complete list with the applicable notices is available in the application under Help ▸ About ▸ Third-party notices, and on request.
